Terms of Service

Effective date: April 9, 2026

By creating an account or using TheVouch, you agree to these Terms. TheVouch is a verified-identity social network. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use TheVouch. This requirement is not enforced by self-declared age. It is enforced through government-issued identity verification (KYC). Every member must complete identity verification using a valid government-issued photo ID and a biometric face match before gaining access to the platform.

By using the Service, you represent and warrant that you are at least 18 years old, that you are legally capable of entering into a binding agreement, and that the information you provide during identity verification is truthful, accurate, and belongs to you.

2. Account Registration and Verification

2.1 One Person, One Account

TheVouch enforces a strict one-person-one-account policy at the infrastructure level. Each individual may maintain only one account on the platform. This is enforced through a cryptographic identity hash derived from your verified identity. Attempting to create multiple accounts is a violation of these Terms and will result in permanent termination of all associated accounts.

2.2 Real Identity Required

Your display name on TheVouch is your real name as verified through government-issued identification. You may not use a pseudonym, nickname, or fictitious identity as your display name. Falsifying identity information during verification is prohibited and may constitute a criminal offense under applicable law.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. TheVouch offers optional two-factor authentication (TOTP) and session management. You agree to notify us immediately of any unauthorized use of your account. TheVouch is not liable for losses arising from unauthorized access to your account where you have failed to maintain adequate security.

3. Privacy Modes

TheVouch offers three structural privacy tiers:

• Spotlight Full visibility. Your profile and content are visible to all members. You appear in search, explore, and trending. Anyone can follow you and send you a Wave.
• Exclusive Controlled access. Your profile appears in search, but your content is locked behind your approval. New followers must request access. Your posts are excluded from explore, trending, and hashtag surfaces. Reposts and shares of your content are blocked at the system level.
• Incognito Complete invisibility. Your profile does not appear in search, suggestions, or any discovery surface. The only way someone can find you is through your personal one-time invite link. All connections are bidirectional. You can only view profiles of your own connections.

Post visibility is capped by your profile mode. If you are in Exclusive mode, no individual post can exceed the visibility boundary of your profile. You may change your privacy tier at any time. Switching to Incognito will remove all one-sided follows; only mutual connections survive the transition.

4. Content Rules

You agree to use TheVouch in accordance with all applicable laws and in a manner consistent with the standards of a verified-identity community. The following content and conduct are prohibited:

4.1 Prohibited Content

• Violence and threats Content that depicts, promotes, glorifies, or incites violence, terrorism, or physical harm against any individual or group
• Pornography and sexual content Sexually explicit material of any kind
• Hate speech Content that attacks, demeans, or incites hatred against individuals or groups based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics
• Harassment and bullying Targeted abuse, stalking, intimidation, or sustained unwanted contact directed at another member
• Illegal content Content that promotes, facilitates, or constitutes illegal activity under applicable law
• Spam and manipulation Automated posting, mass unsolicited contact, coordinated inauthentic behavior, or any form of platform manipulation
• Impersonation Falsely claiming to be another person, organization, or entity
• Misinformation Deliberately false content intended to deceive, particularly regarding public health, elections, or emergency situations

4.2 Content Format

• Posts cannot be edited once published. You may delete a post, but you cannot modify it. This prevents manipulation of content that has already been engaged with.
• Text and photography only. Video content is not supported. Links to external video may be shared as references but will not autoplay or embed.
• All photos appear in black and white on the platform.
• Maximum post length is 1,000 characters. Quote reposts are also limited to 1,000 characters.
• Single reaction per post. There is one reaction type: a heart. You appreciate something, or you do not.
• No comments. If you wish to respond to a post, send the author a Wave. That requires their consent.

5. Wave-Gated Messaging

Every conversation on TheVouch begins with a Wave, a request for consent. The recipient may accept or decline. If a Wave is declined, the sender cannot send another request unless the recipient reverses their decision. There is no workaround. Your inbox starts locked, and only you hold the key.

Group conversations require universal consent: you cannot be added to a group unless you have individually accepted a Wave from every other member. There are no involuntary group chats on TheVouch.

6. Subscriptions and Payment

6.1 Subscription Plans

TheVouch offers the following subscription plans:

• Personal $9.99 per month or $99.99 per year. Full platform access for verified individuals.
• Business An additional $99.99 per month or $999.99 per year, applied on top of an active Personal subscription. Unlocks the company profile, unlimited employees, internal channels, full HR pipeline with vacancies, branded company posts, and verified work titles for employees.

6.2 Payment Processing

Personal subscriptions are billed through the Apple App Store or Google Play Store, depending on your device. Business subscriptions are billed through our web payment processor. TheVouch does not directly collect or store credit card or payment instrument details.

6.3 Auto-Renewal

Subscriptions auto-renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You can manage and cancel your subscription through your device's app store settings (for Personal) or through the TheVouch web portal (for Business).

6.4 Price Lock

TheVouch commits to keeping the Personal and Business subscription prices listed above unchanged. We will not raise the price of any existing plan.

6.5 Refunds

Personal subscription refunds are handled by the Apple App Store or Google Play Store in accordance with their respective refund policies. For Business subscription inquiries, contact legal@thevouch.io.

7. Company Accounts

The Business tier enables company profiles on TheVouch. The following terms apply to company accounts:

• Business tier required. A company profile can only be created by a member with an active Business subscription.
• Unlimited employees. There is no employee limit. Any number of members can be linked to a company.
• Each employee pays their own subscription. The company does not pay for employee accounts. Each employee maintains their own Personal subscription independently. Joining a company is a relationship layer on top of an existing personal account.
• Verified work titles. Job titles displayed on employee profiles are assigned and verified by the company administrator, not self-declared.
• Company posts show the author. When a company publishes a post, the individual who authored it is always visible alongside the company name.
• Company content survives personnel changes. If an employee leaves or deletes their account, posts they authored on behalf of the company are preserved and reassigned to the company.

8. Intellectual Property

8.1 Your Content

You retain ownership of the content you create and post on TheVouch ("User Content"). By posting User Content, you grant TheVouch a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license terminates when you delete your content or your account, except where your content has been shared with others and they have not deleted it, or where the content was authored on behalf of a company (which is retained as described in Section 7).

8.2 TheVouch Intellectual Property

TheVouch, its name, logo, shield mark, design language, features, and functionality are owned by TheVouch and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Account Termination

9.1 Termination by You

You may delete your account at any time through the app settings. Upon requesting deletion:

• A 30-day grace period begins. During this period, your account is deactivated but not destroyed. You may cancel the deletion by signing back in.
• After 30 days, deletion is permanent and irreversible. Your personal posts are deleted, your profile is anonymized, your direct message conversations are fully deleted, and your social connections are removed.
• Active subscriptions should be cancelled through your app store before requesting account deletion.

9.2 Termination by TheVouch

We reserve the right to suspend, freeze, or permanently ban your account if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required by law. We will make reasonable efforts to notify you of the reason for any account action.

• Frozen temporary restriction of certain features pending review.
• Suspended temporary loss of access due to a Terms violation.
• Banned permanent removal from the platform. Because of our one-person-one-account policy and identity hash system, a ban is tied to your verified identity. All associated identifiers (identity hash, phone number, email, device tokens) are blocked. You cannot create a new account.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

10. Encrypted Messaging

Direct messages and group conversations on TheVouch are end-to-end encrypted using X25519 key exchange and AES-256-GCM encryption. This means:

• TheVouch cannot access, read, or decrypt the content of your private messages
• We cannot recover lost messages or assist with message content disputes
• We cannot comply with requests to disclose message content because we do not possess the ability to decrypt it
• Message editing is limited to a 15-minute window after sending (text only)
• Deleted messages are soft-deleted with a placeholder visible to other participants

11. Content Moderation and Reporting

TheVouch maintains a reporting system that allows members to report content and behavior that violates these Terms. We review reported content and take appropriate action, which may include removing content and restricting or terminating accounts.

Because every member is identity-verified, accountability is structural. All actions on the platform are tied to a verified real person. Members who are removed cannot return under a different identity.

12. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TheVouch does not warrant that the Service will be uninterrupted, secure, or error-free.

While we verify member identities through government-issued identification, we do not guarantee the accuracy of information that members choose to share on the platform beyond their verified identity data. Identity verification confirms that a member is a real person of legal age; it does not constitute an endorsement of that member's character, conduct, or content.

13. Limitation of Liability

To the maximum extent permitted by applicable law, TheVouch, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your content or communications
• Loss of encrypted messages due to key loss or device failure
• Any other matter relating to the Service

In no event shall TheVouch's total aggregate liability exceed the amount you paid to TheVouch in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless TheVouch and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be resolved through binding arbitration. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TheVouch regarding the Service and supersede all prior agreements, understandings, and representations.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other means before the changes take effect. Your continued use of the Service after such notification constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
